CT-PEN Bylaws
By-laws of the Connecticut Parenting Education Network (CT-PEN)

Article I
The mission of the Connecticut Parenting Educators Network (CT-PEN) is to improve the social, emotional, and educational outcomes of Connecticut's children and families by promoting and providing high quality parenting education programs/experiences.

CT-PEN will adopt the goals of the National Parenting Educators Network to advance the field of parenting education and increase access to high quality programs by achieving the following goals:

Expanded linkages among parenting education practitioners and programs to increase effectiveness in supporting and educating parents and families.
Expanded knowledge base to consolidate and expand the base of research and practical knowledge about parenting and parenting education and to increase accessibility.
Increase professional development to address issues that will allow parenting education practitioners to build their skills and the profession, in particular those issues that transcend disciplinary and regional boundaries such as professional identity, ethics, standards, certification, training and accessibility.
Increase local, state, and national leadership in the field of parenting education among professionals, policy makers, media, and the public.

Article II
Membership
The membership of the Connecticut Parenting Education Network shall be open to all agencies, organizations, individual parent educators, parents and individuals who wish to support or participate in parent education activities.

a. Organizations and Agencies: Organizations and agencies involved in the parent education field may join CT-PEN by submitting an application form and required fee. Each organization will have two official voting representatives and will receive two participant discounts on educational events.
b. Individual members: Individual parent educators, parents and others may submit an application to join the organization and pay the individual membership fee. They will be entitled to one vote and will participate in programs at the member rate.
c. Friends of CT-PEN: Parents and Individuals who support parent education may join by submitting an application and paying a small fee. They will have no vote in organizational matters, but may participate in programs at the member rate.

Article III
Organization
CT-PEN will be organized as an unincorporated entity functioning under the stewardship of an existing 501 (3) or Governmental organization or agency who


shall maintain financial records for CT-PEN and accept and disperse funds within organizational guidelines.

a. The organization will be managed by a leadership team. The leadership team consists of the chair, vice-chair, treasurer, secretary, webmaster, the regional leaders, and paid staff
b. The voting members will elect officers. They will include a chair, vice-chair, secretary and treasurer. Officers will be limited to two consecutive two- year terms.
c. The organization will follow the rules of the parent 501 (3) organization in relation to financial, political and program activities.
d. Operating procedures will follow Roberts Rules of Order.
e. Vacancies will be filled by the leadership team.
f. Officers and members of the leadership team may be removed from office on 2/3 vote of the leadership team for conflicts of interests, ethic violations or missing three consecutive meetings without good reason.

Article IV
Meetings
a. Annual Meeting: There will be an annual meeting of the entire membership during the spring. The primary purpose of said meeting will be election of officers. All members shall be notified of the time and place of the annual meeting at least three weeks prior to the meeting. A quorum at this meeting will be the members in attendance.
b. Membership Meetings: These meetings may be called by the leadership team or by petition of 25% of the entire membership. All members will be notified of these meetings three weeks in advance of the meeting and will receive in the notification a listing of agenda items.
c. Leadership team: The leadership team will meet monthly or as they deem appropriate to conduct the business of the organization.

Article V
Compensation of Members
Members shall not receive compensation for services on the leadership team or on committees although the board may authorize the payment of expenses. Nothing shall preclude a member from serving the organization in another capacity and receiving compensation for such services within the constraints of relevant State and Federal law relating to non-profit organizations.

Article VI
Committees
a. Nominating Committee: A nominating committee shall be elected at the annual meeting. It shall consist of 3-5 members. Two thirds of the members must be from the general membership and not serving on the leadership team. The members shall serve for one year.

b. Program/professional development Committee: The program committee shall be appointed by the leadership team and shall be responsible for educational activities and events throughout the year.

c. Fund Development Committee: This committee shall be responsible for raising money and preparing grants. This committee will be appointed by the leadership team.

d. Membership and regional outreach: This committee shall be appointed by the leadership team and shall be responsible for contacting parent educators in their region and supporting regional activities.

e. Public relations Committee: This committee will be appointed by the leadership team and will be responsible for promoting CTPEN and parent education throughout the state.

f. Other committees: From time to time the chair may appoint other committees to facilitate the work of the organization.

Article VII
Advisory Board
The Advisory Board will be selected by the Leadership team and will be comprised of individuals engaged in or supportive of parenting and family life education. Individuals selected to serve may be parents, community, business or governmental leaders and will serve for a limited term. The group will meet periodically with the Leadership Team and will advise CT-PEN on how to best deliver and fund parenting education programs in Connecticut.

Article VIII
Contracts and Management of Funds
CT-PEN will enter into an agreement with a non-profit or governmental agency to provide fiduciary functions for the organization. The fiduciary agency agrees to work in a spirit of collegiality and collaboration and will actively pursue the mission and goals of CT-PEN.

Article IX
Indemnification
CT-PEN, the fiduciary organization and/or any contracting agency will be held responsible for their own actions and the actions of their employees (paid personnel or volunteers). Each agency agrees to indemnify and hold harmless all other participants from any claims or damages arising out of its conduct or the conduct of its employees.
Article X
Amendments
The by-laws may be amended upon a recommendation of the leadership team or 1/3 of the membership and shall be voted on at the next annual or special meeting called for that purpose. The membership shall be notified in writing three weeks prior to the vote. This may be via e-mail or postal service.

Article XI
Dissolution
The organization may be dissolved by vote of 2/3 of the members present at the annual meeting upon recommendation of the leadership team. In case of dissolution all assets will be distributed to a 501 (3) organization providing educational programs to parents and children.
